Wing Snob does not warrant that:

• The Site will be available, uninterrupted, timely, secure, or error-free at all times.
• The results obtained from using the Site or services will be accurate or reliable.
• Any errors in the Site or services will be corrected.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WING SNOB, ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SUPPLIERS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SITE OR SERVICES, EVEN IF WING SNOB HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WING SNOB'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATED TO THESE TERMS, THE SITE, OR THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO WING SNOB IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE DATE THE CLAIM AROSE, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liability for incidental or consequential damages, so the above limitations may not apply to you. In such jurisdictions, Wing Snob's liability shall be limited to the fullest extent permitted by applicable law.

Nothing in these Terms shall limit or exclude Wing Snob's liability for: (i) death or personal injury caused by Wing Snob's gross negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot be excluded or limited by applicable law.

8. Indemnification

You agree to defend, indemnify, and hold harmless Wing Snob and its owners, officers, directors, employees, agents, licensors, suppliers, successors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Site or services in violation of these Terms.
• Your violation of any applicable law, regulation, or third-party right, including any intellectual property right, publicity, confidentiality, or privacy right.
• Any User Submissions or other content you provide to Wing Snob.

Wing Snob reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with Wing Snob's defense of such matter. You agree not to settle any indemnifiable claim without Wing Snob's prior written consent.

9. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or related to these Terms, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States and the laws of the state in which Wing Snob is principally located, without regard to any conflict of law principles that would require the application of the laws of a different jurisdiction.

To the extent that any dispute is not subject to arbitration as set forth in Section 10 below, you and Wing Snob agree to submit to the exclusive personal jurisdiction of the state and federal courts located within the United States for the resolution of any disputes. You hereby waive any objection to the exercise of jurisdiction over you by such courts and to the venue of such courts.

Wing Snob operates in compliance with applicable federal laws and regulations, including but not limited to:

• The Federal Trade Commission Act (15 U.S.C. § 45) governing unfair or deceptive trade practices.
• The Food Safety Modernization Act (21 U.S.C. § 2201 et seq.) and applicable FDA regulations.
• The Americans with Disabilities Act (ADA) to the extent applicable to our digital and physical services.
• The Electronic Communications Privacy Act and applicable data protection regulations.
• All applicable state and local food service, health, and safety regulations.

Customers located in California may have additional rights under the California Consumer Privacy Act (CCPA/CPRA) as described in our Privacy Policy.

10. Dispute Resolution

10.1 Informal Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the Site, or the services provided by Wing Snob ("Dispute"), we encourage you to first contact us directly to seek an informal resolution. Please send a written description of your Dispute to [email protected] and allow us thirty (30) days to respond and attempt to resolve the matter informally before pursuing any formal dispute resolution mechanism.

10.2 Binding Arbitration

If we are unable to resolve a Dispute informally within thirty (30) days, you and Wing Snob agree that any Dispute shall be finally resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules then in effect, which are incorporated herein by reference. The arbitration shall be conducted in the English language. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

You and Wing Snob agree that the arbitration shall be conducted on an individual basis and not as a class, collective, or representative action. Neither you nor Wing Snob may participate in a class arbitration or class action with respect to any Dispute covered by this Agreement.

The following types of claims are excluded from arbitration and may be brought in a court of competent jurisdiction: (i) claims for injunctive or other equitable relief to protect intellectual property rights; (ii) claims that are not subject to arbitration under applicable law; and (iii) small claims court actions, provided that the action remains in small claims court and proceeds only on an individual basis.

10.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND WING SNOB EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING WITH RESPECT TO ANY DISPUTE COVERED BY THESE TERMS.

11. Term and Termination

These Terms of Service shall remain in full force and effect for as long as you use the Site or services, or maintain an account with Wing Snob. Wing Snob reserves the right, in its sole discretion, to suspend or terminate your access to the Site and services at any time, with or without notice, for any reason, including but not limited to your breach of these Terms, suspected fraudulent or illegal activity, or any conduct that Wing Snob determines to be harmful to other users, third parties, or Wing Snob's business interests.

15. Force Majeure

Wing Snob shall not be liable for any failure or delay in the performance of its obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond Wing Snob's reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, fire, flood, war, terrorism, civil unrest, government action, labor disputes, supply chain disruptions, power outages, or failures of telecommunications infrastructure or internet service providers. In such events, Wing Snob's obligations shall be suspended for the duration of the force majeure event, and Wing Snob shall use commercially reasonable efforts to resume performance as soon as practicable.

16. Severability
